These terms are a legally binding agreement between you and Britannia Consultancy Services Ltd. Read them before you use the Site. If you do not accept them in full, do not use the Site.
If you use the Site in the course of a business, these terms apply in full. If you are a consumer, some limits apply only so far as the law allows. Nothing in these terms excludes liability for death or personal injury caused by negligence, or for fraud.
1. Definitions
In these terms:
“Company”, “we”, “us” and “our” mean Britannia Consultancy Services Ltd, company number 17455909, registered office 128 City Road, London, United Kingdom, EC1V 2NX.
“Site” means any website, subdomain, landing page, form, portal or online material that we operate and that links to these terms, including content, code, design and features.
“you” means the individual using the Site and, where that individual uses the Site for an organisation, that organisation as well.
“Content” means all text, graphics, logos, icons, images, audio, video, software, code, data, compilations and other material on or available through the Site.
“User Content” means anything you submit, upload, post, transmit or otherwise make available through the Site, including form entries, messages, files and feedback.
“Intellectual Property” means patents, rights to inventions, copyright and related rights, moral rights, trade marks, business names, domain names, rights in get up, goodwill, rights in designs, database rights, rights in computer software, rights in confidential information, know how, and all other intellectual property rights, in each case whether registered or unregistered and including all applications.
“Privacy Notice” and “Cookie Policy” mean the versions of those documents published by us from time to time.
“Services Contract” means a separate written contract for consultancy, business development or related services, including our Standard Terms and Conditions, an engagement letter, a commission schedule and any novation.
2. Who we are and what these terms do
2.1 We are a private limited company. We provide business development, sales consultancy and related professional services. We are not an employment business or an employment agency. We are not a law firm, tax adviser or authorised financial services firm.
2.2 These terms govern access to and use of the Site only. They do not create a Services Contract. No fees, commission, pipeline rights, or consultancy obligations arise from use of the Site alone.
2.3 If a Services Contract exists between you and us, that contract prevails over these terms for the services it covers. These terms still govern use of the Site.
2.4 We are not Hier, Avid Sales & Consulting Limited, or any other client or campaign principal. Nothing on the Site makes us their agent, employee, partner or representative unless a Services Contract expressly says so.
2.5 Contact: info@britanniaconsultancyservice.com, or post to the registered office marked “Website”.
3. Binding acceptance
3.1 You accept these terms if you tick an acceptance box, submit a form, create an account, or continue to use the Site after these terms have been brought to your attention, including by a footer link. Mere arrival on a page does not by itself create a contract.
3.2 You confirm that you are at least 18, that you have capacity to contract, and that if you act for an organisation you have authority to bind it.
3.3 If you do not have that authority, you accept these terms personally and you will be responsible to us for that organisation’s use.
3.4 We may keep logs, timestamps and copies of acceptances as evidence. An electronic record is sufficient.
4. Changes
4.1 We may change these terms, the Site and the Content at any time.
4.2 The version that applies is the version published when you use the Site. The effective date and version number appear at the head of this document.
4.3 We may give additional notice of a material change by a banner on the Site or by email if we hold a current address. Your continued use after the change is acceptance.
4.4 If you do not accept a change, stop using the Site.
5. Eligibility, territory and language
5.1 The Site is directed at businesses and professional contacts. It is not directed at children. Do not use the Site if you are under 18.
5.2 We do not warrant that Content is appropriate or available outside the United Kingdom. If you access the Site from elsewhere, you are responsible for compliance with local law.
5.3 These terms are in English. If we provide a translation, the English text prevails.
5.4 Information on the Site is an invitation to treat. It is not an offer capable of acceptance. We may refuse any enquiry or proposed engagement without giving reasons.
6. Access, accounts and security
6.1 Access is temporary. We may withdraw, suspend, limit or change the Site without notice.
6.2 We do not warrant that the Site will be available, uninterrupted, timely, secure, or free from errors, defects, viruses or other harmful components.
6.3 You must use your own security measures, including current browser software and anti malware protection.
6.4 If we issue a password, token or other credential:
- it is personal to you
- you must keep it confidential and not share it
- you must tell us immediately if you suspect misuse
- you are responsible for all activity under that credential until you have notified us and we have had a reasonable opportunity to disable it
6.5 We may disable any credential, block an IP address, or restrict features at any time.
6.6 You must not circumvent technical measures, probe, scan or test the vulnerability of the Site except with our prior written consent.
7. Permitted use
You may, for lawful professional purposes only:
- view Content in a web browser
- print or download a reasonable extract for your own internal use, keeping all proprietary notices intact
- contact us through a published channel
- link to the home page as allowed by clause 18
Any other use requires our prior written consent.
8. Prohibited use
8.1 You must not use the Site:
- in any way that breaches any applicable local, national or international law or regulation
- in any way that is unlawful, fraudulent, or has any unlawful or fraudulent purpose or effect
- to send, knowingly receive, upload, download, use or re use any material that does not comply with clause 10
- to transmit, or procure the sending of, any unsolicited or unauthorised advertising or promotional material, or any other form of similar solicitation
- to harvest, scrape, crawl, spider, mine or collect Content or personal data except for genuine indexing by a public search engine of pages we have not blocked
- to build a competing product, service, directory or dataset from the Site
- to monitor the availability, performance or functionality of the Site for a competitive purpose
- to impersonate us, a director, a worker, a client, a campaign principal, or any other person
- to suggest that you are our employee, partner, agent or authorised representative
- to use a Hier, Avid or other third party name, mark or email style in a way that is misleading
- to interfere with another person’s use of the Site
- to introduce viruses, trojans, worms, logic bombs, keyloggers, ransomware or other malicious or harmful material
- to attack the Site by a denial of service attack or a distributed denial of service attack
- to attempt unauthorised access to the Site, the server, or any connected database, account or network
- to reverse engineer, decompile, disassemble or otherwise attempt to obtain source code except to the extent that restriction is prohibited by law
- to remove, obscure or alter any copyright, trade mark or other proprietary notice
- to use the Site in a way that damages, disables, overburdens or impairs it
8.2 You must not use the Site to commit, assist or conceal an offence under the Computer Misuse Act 1990, the Fraud Act 2006, the Data Protection Act 2018, PECR, the Malicious Communications Act 1988, or any other applicable statute.
8.3 We may report a suspected breach to the police, the Information Commissioner or another authority, and we may disclose information about you so far as the law allows.
9. Intellectual Property
9.1 We or our licensors own all Intellectual Property in the Site and the Content. The Site is protected by copyright, database right and other laws. All rights not expressly granted are reserved.
9.2 “Britannia Consultancy Services”, associated devices and the get up of the Site are our unregistered or registered marks. You may use our name only to identify us accurately and in good faith. You may not use it in a domain name, paid search term, social media handle, email address or logo without written consent.
9.3 Third party names on the Site, including names of clients or campaign principals, remain the property of their owners. Their appearance does not grant you a licence and does not mean those owners endorse the Site.
9.4 The limited permission in clause 7 is a licence, not a transfer. It is revocable, non exclusive, non transferable and royalty free. It ends automatically if you breach these terms.
9.5 If you print, copy, download or use Content in breach of these terms, your right to use the Site ends immediately. You must, at our option, return or destroy copies. We may also seek damages and an injunction.
9.6 You must not use our Content to train a machine learning or artificial intelligence model without our prior written consent.
10. User Content
10.1 You are solely responsible for User Content. You warrant that:
- you own it or have all rights needed to submit it and to grant the licence in this clause
- it is accurate and not misleading
- it is not confidential to a third party, or you have authority to disclose it
- it does not infringe Intellectual Property, privacy, publicity or other rights
- it is not defamatory, obscene, hateful, threatening, discriminatory or otherwise unlawful
- it does not contain malware
- it does not contain special category data or criminal offence data unless we have expressly requested it
10.2 You grant us a worldwide, royalty free, transferable, sub licensable, non exclusive licence to use, store, copy, adapt and disclose User Content so far as needed to operate the Site, respond to you, perform a contract, exercise or defend legal rights, and comply with law. That licence lasts for as long as we need the material for those purposes, including backups and statutory retention.
10.3 We are not obliged to publish, monitor or retain User Content. We may refuse, remove, edit, block or disclose it without notice where we reasonably consider it necessary.
10.4 User Content does not represent our views. We are not liable for it.
10.5 Do not send us confidential proposals, source code, customer lists or other sensitive material through a general website form unless we have asked for that material through a secure channel.
11. No advice and no reliance
11.1 Content is general information. It is not legal, tax, employment, regulatory or investment advice. It is not a recommendation to buy, sell or contract.
11.2 We may use software, including generative artificial intelligence, to assist with drafting Content. Content is reviewed before publication. We still do not warrant that Content is complete, correct, current or fit for a particular purpose.
11.3 You must obtain your own professional advice before acting. You assume all risk of use or reliance.
11.4 Testimonials, case summaries or outcome figures, if published, are illustrative. They are not a guarantee of similar results.
11.5 Descriptions of third party products or campaigns are not our offer and are not a representation by that third party unless they say so themselves.
12. Privacy, cookies and marketing
12.1 Our Privacy Notice and Cookie Policy form part of these terms so far as they describe Site processing.
12.2 You must not use the Site to process personal data of others except in accordance with the UK GDPR, the Data Protection Act 2018 and PECR.
12.3 If we send electronic marketing, we will do so in accordance with PECR. You may object at any time by emailing info@britanniaconsultancyservice.com or using an unsubscribe method. We may keep a suppression record.
12.4 The controller is Britannia Consultancy Services Ltd. Julian Britain, Director, is the individual specified by the Company to deal with data protection because of the volume of business contact data processed in prospecting and campaign work. He is not a Data Protection Officer and he is not the controller in his personal capacity.
12.5 A data protection complaint or a request to access, correct or delete personal data may be made as described in the Privacy Notice, by email to info@britanniaconsultancyservice.com marked for the attention of Julian Britain. You may also complain to the Information Commissioner’s Office.
13. Third party services
13.1 The Site may include links, embeds or integrations, including booking tools, maps, analytics, hosting, payment providers and social media.
13.2 Those providers have their own terms. We are not responsible for their content, availability, security or data practices except where the law makes us responsible.
13.3 A link is not an endorsement. We may remove a link at any time.
13.4 If you leave the Site, these terms stop applying to the other site.
14. Viruses and harmful material
14.1 We do not guarantee that the Site is free of viruses or other harmful components.
14.2 You must not introduce harmful material. You must not attack the Site.
14.3 We may take such investigative and remedial steps as we reasonably consider necessary, including isolating systems and preserving logs as evidence.
14.4 Subject to clause 15.1, we are not liable for loss caused by a virus, denial of service attack or other harmful material that infects your systems because you used the Site or downloaded material from it.
15. Limitation of liability
15.1 Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be limited or excluded.
15.2 This clause applies to liability arising out of or in connection with the Site and these terms, whether in contract, tort (including negligence), breach of statutory duty, misrepresentation or otherwise.
15.3 The Site is a free public information site. It includes a contact form and a means of requesting a demonstration. Use of those features is not a paid service and does not create a Services Contract.
15.4 If you use the Site in the course of a business:
- the Site and the Content are provided as is and as available
- all warranties, conditions and other terms implied by statute or common law are excluded to the fullest extent permitted by law, including those implied by sections 13 to 15 of the Supply of Goods and Services Act 1982
- we shall not be liable for loss of profits, sales, business, revenue, anticipated savings, goodwill, opportunity, data or wasted management time, or for any special, indirect or consequential loss, even if foreseeable
- we shall not be liable for the acts or omissions of any client, campaign principal, prospect, supplier, hosting provider, booking tool or other third party
- we shall not be liable because you relied on Content, submitted a form, or booked or attended a demonstration arranged through the Site
15.5 If you are a consumer, we are liable only for loss that is a foreseeable result of our breach of these terms or our failure to use reasonable care and skill. We are not liable for business losses. Statutory rights that cannot be excluded remain.
15.6 This clause applies to us and to our directors and workers in respect of the Site.
15.7 Any paid work is governed only by a Services Contract. These website terms do not create a right to claim fees, commission or damages in connection with an enquiry or a demonstration request.
16. Indemnity
16.1 If you use the Site in the course of a business, you shall indemnify and keep indemnified the Company, its directors and workers against all reasonably incurred losses, liabilities, damages, costs and expenses (including reasonable legal fees) arising out of or in connection with:
- your breach of these terms
- your misuse of the Site
- User Content
- your infringement of Intellectual Property or confidentiality
- your processing of personal data in connection with the Site
- any claim by a third party arising out of your use of the Site
- your impersonation of us or of a client or campaign principal
16.2 We shall take reasonable steps to mitigate. We may conduct the defence of a claim. You shall cooperate. You shall not settle a claim that admits fault on our part without our written consent, not to be unreasonably withheld.
16.3 This indemnity is in addition to any other right we have.
17. Suspension, termination and enforcement
17.1 We may immediately suspend or terminate access, remove Content or User Content, and take technical or legal steps if:
- you breach these terms
- we reasonably suspect that you have
- we are required to do so by law or by a competent authority
- we withdraw the Site
- your use creates risk to us, to another user, or to a third party
17.2 We may seek an injunction, delivery up, damages, an account of profits and costs. You agree that damages may not be an adequate remedy for a breach of clauses 8 or 9.
17.3 Termination does not affect accrued rights. Clauses 1, 8 to 11 and 14 to 22 survive.
18. Linking and framing
18.1 You may link to our home page only if the link is fair, legal and does not damage our reputation.
18.2 You must not:
- suggest any association, approval or endorsement where none exists
- frame, inline link or deep link Content so that it appears to be part of another site
- link from a site that is unlawful, misleading or harmful
- use our logo as the link without written consent
18.3 We may withdraw permission at any time. You must remove a link promptly on request.
19. Confidentiality
If we disclose non public information to you through the Site or following an enquiry, you must keep it confidential and use it only to consider a possible engagement, unless it is public other than by your breach, you already lawfully possessed it, or the law requires disclosure.
20. Force majeure
We are not in breach or liable for delay or failure caused by an event beyond our reasonable control, including failure of hosting, communications, power, third party platforms, epidemic, change of law, industrial action affecting a third party, or cyber incident.
21. Complaints
Website complaints: info@britanniaconsultancyservice.com or the registered office.
Personal data complaints: as set out in the Privacy Notice. Information Commissioner’s Office, Wycliffe House, Water Lane, Wilmslow, Cheshire, SK9 5AF, ico.org.uk, 0303 123 1113.
22. General
22.1 We may assign or novate these terms and the Site to another organisation, including a group company. You may not assign without our written consent.
22.2 These terms, the Privacy Notice and the Cookie Policy are the entire agreement relating to use of the Site. You have not relied on any statement not set out in them. Nothing limits liability for fraud.
22.3 A variation of these terms is effective only if we publish a new version or we agree it in writing.
22.4 If a provision is illegal, invalid or unenforceable it shall be modified to the minimum extent necessary. The rest continues.
22.5 A failure or delay in exercising a right is not a waiver. A waiver must be in writing.
22.6 A person who is not a party has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce these terms. Our directors and workers may rely on clauses 15 and 16.
22.7 Notices to us must be in writing to the registered office or to info@britanniaconsultancyservice.com. Email is received on the Business Day of transmission if sent before 5.00 pm United Kingdom time with no error message.
22.8 These terms, and any dispute or claim arising out of or in connection with them or their subject matter or formation, including non contractual disputes or claims, are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction. If you are a consumer living in Scotland or Northern Ireland you may also bring proceedings in your home courts.
22.9 You agree that we may rely on server logs, screenshots and archived copies of the Site as evidence of Content and of these terms as they stood at a given time.
